TERMS OF SERVICE

1. Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the websites, mobile applications, and related services (together, the “Platform”) operated by AIHomes Inc., a Virginia corporation (“AIHomes”). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform. AIHomes may update these Terms from time to time and will post the revised Terms with a new date above; your continued use after a change means you accept the revised Terms.

2. The Services

The Platform helps homeowners organize and manage the post-closing homeownership experience, including tools to track home information and documents, manage maintenance and warranty matters, and connect with builders, manufacturers, contractors, home warranty providers, and other service providers. AIHomes provides the Platform that makes these tools and connections available. AIHomes does not itself perform home repairs, construction, inspections, or warranty services, and does not sell homes.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. If you use the Platform on behalf of a business or another person, you represent that you have authority to bind that party to these Terms.

4. Accounts and Registration

To use certain features you must create an account and provide accurate, current, and complete information, and keep it updated. You may not share your account, use another person’s account without permission, or transfer your account to anyone else. AIHomes may refuse, suspend, or reclaim any username that is misleading, infringing, or offensive. Any personal information you provide during registration or while using the Platform is collected, used, and shared as described in the AIHomes Privacy Policy (the “Privacy Policy”), which you should review before creating an account. You are responsible for all activity under your account.

5. Passwords and Security

You are responsible for keeping your username and password confidential and for all use of your credentials. Use a strong password and do not reuse credentials from other services. Notify AIHomes promptly of any unauthorized use of your account or any other suspected breach of security, and AIHomes may suspend or lock your account while it investigates suspicious activity. AIHomes maintains safeguards designed to protect your account information, as described in the Privacy Policy, but no method of transmission or storage is completely secure and AIHomes cannot guarantee absolute security. AIHomes is not liable for any loss arising from your failure to safeguard your credentials.

6. Acceptable Use

You agree not to:

• restrict or inhibit any other user from using the Platform;
• impersonate any person or entity, or misrepresent your affiliation with a person or entity;
• interfere with or disrupt the servers or networks that support the Platform;
• gain or attempt to gain unauthorized access to the Platform or any connected system, including by hacking or password mining;
• post or transmit any unlawful, threatening, abusive, defamatory, obscene, or infringing material;
• upload any virus or other harmful code;
• use the Platform to advertise or solicit others to buy or sell products or services without AIHomes’s written consent; or
• collect other users’ personal information for marketing or any other purpose.

7. User Content

You retain ownership of the content you submit to the Platform. By submitting content, you grant AIHomes a nonexclusive, worldwide, royalty-free license to host, use, reproduce, display, and distribute that content to operate and improve the Platform. You represent that you own or have the rights to the content you submit and that it does not violate the rights of any third party. AIHomes may, but is not required to, monitor or remove content.

8. AIHomes Intellectual Property

The Platform and all content AIHomes makes available, including text, graphics, logos, software, and the AIHomes name and marks, are owned by AIHomes or its licensors and are protected by intellectual property laws. AIHomes grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Platform for your personal, noncommercial homeownership purposes. You may not copy, modify, distribute, sell, or create derivative works from the Platform without AIHomes’s written permission.

9. Third-Party Providers and Links

The Platform may let you find, contact, and engage builders, contractors, manufacturers, warranty companies, and other providers, and may contain links to third-party sites. These providers and sites are independent third parties. AIHomes does not provide, and is not responsible for, the products, services, workmanship, warranties, or conduct of any provider, and does not endorse any provider. Any agreement you enter with a provider is solely between you and that provider, and you deal with them at your own risk.

10. Fees and Payments

Certain features may require payment. You agree to pay all applicable fees and authorize AIHomes or its payment processor to charge your payment method. You are responsible for all charges incurred under your account. Fees are billed at time of service.

11. No Professional Advice

AIHomes does not provide legal, financial, tax, real estate, or construction advice, and content on the Platform is for general informational purposes only. You are responsible for consulting a qualified professional before making decisions about your home, finances, or legal rights. AIHomes is not a licensed contractor, real estate broker, or insurer, and does not issue home warranties.

12. Disclaimers

THE PLATFORM AND ALL CONTENT, TOOLS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. AIHomes DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY PROVIDER FOUND THROUGH THE PLATFORM WILL MEET YOUR NEEDS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AIHomes AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. AIHomes’s total liability for any claim relating to the Platform will not exceed the greater of the amounts you paid to AIHomes in the twelve (12) months before the claim or one hundred dollars ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless AIHomes and its affiliates, and their officers, directors, employees, and agents, from any claim, loss, or expense, including reasonable attorneys’ fees, arising from your use of the Platform, your content, your dealings with any provider, or your breach of these Terms.

15. Termination

AIHomes may suspend or terminate your access to the Platform at any time, with or without notice, including for any violation of these Terms. On termination, the sections that by their nature should survive, including User Content, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law, continue to apply.

16. Copyright and DMCA

AIHomes respects intellectual property rights and responds to notices of alleged infringement under the Digital Millennium Copyright Act. If you believe content on the Platform infringes your copyright, send a notice with the information the DMCA requires to AIHomes’s designated agent at the contact address below. AIHomes may remove infringing content and terminate repeat infringers.

17. Changes to the Platform and Terms

AIHomes may change, suspend, or discontinue any part of the Platform at any time. AIHomes may also revise these Terms as described in Section 1. Material changes will be reflected in the “Last Updated” date above.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Before filing any claim, you agree to first attempt in good faith to resolve the dispute through mediation, to be completed within thirty (30) days after either party requests it. Any dispute that is not resolved through mediation will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and judgment on the arbitration award may be entered in any court of competent jurisdiction. You and AIHomes agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate the claims of more than one person and may not preside over any class or representative proceeding.

19. General

These Terms are the entire agreement between you and AIHomes regarding the Platform and supersede any prior agreements on that subject. If any provision is held unenforceable, the remaining provisions stay in effect. AIHomes may assign these Terms; you may not assign them without AIHomes’s consent. AIHomes’s failure to enforce a provision is not a waiver. AIHomes is not liable for any delay or failure caused by events beyond its reasonable control.
